Valued by clients and colleagues as a tenacious problem-solver, she’s the cheerful warrior companies want at their side when facing down the jungle of compliance and regulatory hurdles that stand between them and their next growth milestone. 

Ivy’s expertise extends to M&A and bond issues on both Main Board and GEM listings, which reflects a keen commercial understanding of the goals and challenges of businesses across the capitalization spectrum. She routinely acts for issuers, and as company secretary for foreign and PRC companies listed on the Hong Kong Stock Exchange. Blazing a trail for clients is part of a day’s work. 

Several novel transactions she has structured have earned first-time approval from HKEX and became listing decisions/precedent cases. A bootcamp fitness fan during her “down” time, Ivy brings stamina and grit to every transaction, and loves the satisfaction of a deal well done.

M&A Deals:

  • Advised a company listed on the GEM of HKEX, Steed Oriental (Holdings) Company Limited, as the offeree, in the takeover by its controlling shareholders, of all remaining 57% equity interest not owned by them, valued at HK$190 million.

  • Acted as the Hong Kong legal adviser to a wholly-owned subsidiary of a major bank in PRC, which H shares are listed on the Main Board of HKEx, in relation to its acquisition of a Hong Kong-incorporated holding company owning a vessel.

How would you describe your attitude to work?
The feedback I hear most frequently is that I keep on smiling, no matter how challenging the task at hand. One client from a stated-owned listed company told mde he valued my problem-solving approach; my focus is always on giving clients solutions, rather than giving them a hard time.
What piece of work are you most proud of?
I have assisted several clients in structuring deals and transactions requiring pre-approval from the Stock Exchange. In one instance, there was no precedent, and my team and I worked very hard to explain and justify the novel transaction to the Exchange. I am proud that that case became a listing decision and precedent case.
How would you pitch KEMP to a stranger you met in an elevator?
We are more than legal advisers; we treat our clients as friends, and we understand and support and often socialise with them when the hard work is done. Also, we are forward-thinking and tenacious: we don’t give up easily.
